Yonkers Racing Corporation Announces Closing of Private $100 Million Debt Offering
YONKERS, N.Y., May 13, 2011 /PRNewswire/ -- Yonkers Racing Corporation ("Yonkers") announced today that it closed its previously announced private offering of an additional $100 million principal amount of its 11 3/8% Senior Secured Notes due 2016 (the "Notes") to qualified institutional buyers under Rule 144A under the Securities Act of 1933, as amended (the "Securities Act") and non-U.S. persons in reliance on Regulation S under the Securities Act. Yonkers used the net proceeds from the offering to repay its 13.25% Senior Subordinated Notes due 2013 (the "Subordinated Notes") and to repurchase certain warrants to purchase shares of its class A common stock which were issued in connection with the issuance of the Subordinated Notes. Any remaining net proceeds will be used for general corporate purposes.
The Notes sold by Yonkers are not, and will not be, registered under the Securities Act, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements under the Securities Act and applicable state securities laws.
None of the Securities and Exchange Commission or any state securities commission, the State of New York, the New York State Division of the Lottery or any other gaming authority, or any other regulatory agency has approved or disapproved of the Notes. Any representation to the contrary is unlawful.
