Wyndham Worldwide Announces Pricing of Its Any and All Tender Offer and Its Maximum Tender Offer
PARSIPPANY, N.J., March 9, 2012 /PRNewswire/ -- Wyndham Worldwide Corporation (NYSE: WYN) announced today the pricing of (i) its previously announced tender offer to purchase any and all of its 9.875% Senior Notes due 2014 (the "2014 Notes") (the "Any and All Tender Offer") and (ii) its previously announced tender offer for first, an aggregate principal amount up to the Maximum Tender Amount (as defined below) of its outstanding 6.00% Senior Notes due 2016 (the "2016 Notes"); and second, if the Maximum Tender Amount has not been reached, an aggregate principal amount up to the Maximum Tender Amount of its 7.375% Senior Notes due 2020 (the "2020 Notes") (the "Maximum Tender Offer" and together with the Any and All Tender Offer, the "Tender Offers").
The Tender Offers are subject to the terms and conditions set forth in the Offer to Purchase for Cash dated February 27, 2012 (the "Offer to Purchase") and the related Letter of Transmittal.
As previously announced, holders of 2014 Notes will receive the Total Consideration (as defined in the Offer to Purchase). Holders of 2016 Notes and 2020 Notes that are validly tendered at or prior to 5:00 p.m., New York City time, on March 9, 2012 (the "Early Tender Date") and accepted for purchase will receive the applicable Total Consideration (as defined in the Offer to Purchase) which includes the applicable early tender premium (the "Early Tender Premium") set forth in the Offer to Purchase. Holders of 2016 Notes and 2020 Notes that are validly tendered after the Early Tender Date but before the Maximum Tender Offer Expiration Date (as defined below) will not receive the applicable Early Tender Premium. The Total Consideration for each Tender Offer and the Tender Offer Consideration with respect to the Maximum Tender Offer were calculated based on the applicable Reference U.S. Treasury Security (as defined in the Offer to Purchase) at 2:00 p.m. today, and are set forth in the table below.

The Maximum Tender Offer will expire at midnight, New York City time, on March 23, 2012, unless extended or earlier terminated (the "Maximum Tender Offer Expiration Date"). Tenders of 2016 Notes and 2020 Notes may be withdrawn at any time at or prior to 5:00 p.m., New York City time, on March 9, 2012, but may not be withdrawn thereafter. The Maximum Tender Amount is $500 million less the aggregate principal amount of 2014 Notes accepted for purchase pursuant to the Any and All Tender Offer.
