The investigation concerns whether Regency's directors are improperly allowing ETP (which owns Regency's General Partner) to acquire Regency for unfair consideration. The proposed transaction is valued at approximately $18 billion, including assumption of net debt and other liabilities of $6.8 billion. However, the offer price is below the 52-week high of $33.11 per unit and below the median analyst price target of $28.78 per unit.
