Whistler Blackcomb Holdings Inc. Announces Clarifications to the Proposed Amendments to its Articles
WHISTLER, BC, Feb. 3, 2015 /PRNewswire/ - Whistler Blackcomb Holdings Inc. (TSX: WB) (the "Company") announced today that, in order to reflect recently published guidance and comments from proxy advisory firms, the Company will make clarifications to the proposed amendments to the Company's articles (the "Proposed Articles") set out in Schedule D of the Company's management information circular (the "Circular"), dated December 19, 2014, in connection with the annual general and special meeting (the "Meeting") of the Company to be held on February 11, 2015.
The Proposed Articles will be clarified by replacing section 10.3E with the following: "The Company may require any proposed nominee to furnish such other information as may be required under the Business Corporations Act, Applicable Securities Laws or the rules of any stock exchange on which the Company's shares are listed to determine the eligibility of such proposed nominee to serve as a director of the Company."
The Proposed Articles and the resolutions in respect of their adoption to be put before shareholders at the Meeting will be revised to incorporate the above-described changes. Shareholders are encouraged to review the Circular, which provides a detailed discussion of the proposed matters to be considered at the Meeting.
