NEW YORK, July 20, 2015 /PRNewswire/ -- The proposed acquisition of Vivint Solar Inc. ("VSLR" or the "Company") by SunEdison, Inc. On July 20, 2015, the Company announced that it had reached a definitive agreement for SunEdison to acquire VSLR for $2.2 billion, inclusive of debt. Under the terms of agreement, VSLR shareholders will receive $16.50 for each VSLR share owned, consisting of $9.89 in cash, $3.31 in SunEdison stock, and $3.30 in SunEdison convertible notes

Notably, prior to the announcement, at least one analyst set a price target of $23 per share, or $6.50 above the offer price.
