Vestin Realty Mortgage I, Inc. and Suncrest Holdings, LLC Announce Definitive Merger Agreement
LAS VEGAS, May 18, 2022 /PRNewswire/ -- Vestin Realty Mortgage I, Inc. ("Vestin," "the company," "we" or "our") and privately held Suncrest Holdings, LLC ("Suncrest") announced today that they have entered into a definitive merger agreement pursuant to which Suncrest will acquire all outstanding minority shares of common stock of Vestin for $4.01 per share in an all-cash transaction valued at approximately $1.16 million.
The $4.01 per share price reflects a premium of approximately 90 percent to Vestin's unaffected closing stock price on May 16, 2022, the last full trading day prior to the announcement of the definitive merger agreement.
Suncrest currently owns approximately 65.6 percent of Vestin common stock. Upon completion of the transaction, Vestin will merge with and into Suncrest, its common stock will no longer be listed on any public market and its separate corporate existence will cease. Suncrest will continue as the surviving entity.
The Vestin board of directors approved the definitive merger agreement following the recommendation of a special committee of the board that had previously been formed to oversee and review strategic alternatives for the company. Vestin has also received an opinion from Cogent Valuation stating that the merger consideration is fair, from a financial perspective to the holders of shares of the company's common stock other than holders affiliated with Suncrest.
Transaction Approvals and Timing
The transaction, which was approved by the Vestin board of directors, is not subject to financing conditions and is expected to close by the end of the second quarter or early in the third quarter of 2022, subject to the satisfaction of customary closing conditions, including regulatory approvals and approval by Vestin stockholders.
