Tactical Air Defense Services to Acquire Sudamin A&D S.A.
CARSON CITY, Nev., July 19 /PRNewswire-FirstCall/ -- Tactical Air Defense Services, Inc. (OTC Bulletin Board: TADF), an Aerospace/Defense Services contractor that offers air-combat training, aerial refueling, aircraft maintenance, disaster relief services, and other Aerospace/Defense services to the United States and Foreign militaries and agencies, is pleased to announce that it has signed a Memorandum Of Understanding (the "MOU") to acquire Sudamin A&D S.A. ("Sudamin"), a Colombian defense services contractor.
Sudamin, a Colombian defense services contractor that has successfully provided defense related services and equipment to the Colombian Armed Forces for over 10 years, has successfully partnered with well-known aircraft and defense equipment manufacturers to offer a comprehensive menu of military equipment and services to the Colombian Armed Forces, including but not limited to:
- Land, naval, and air armament systems.
- Air defense systems and radars.
- Optronics and electro-optical equipment.
- Tactical and satellite communication systems.
- Unmanned aircraft vehicles ("UAV's").
- Manufacturing and integration of electronic countermeasures.
- Military vehicles for land transport.
- Uniforms and personal equipment material.
- Digital Video Recorders for air, sea, and land vehicles.
Sudamin, in partnership with a U.S. manufacturer of military aircraft, and with the Colombian Air Force, is currently in the process of executing a long-term contract to manufacture single-engine aircraft in Colombia, in excess of $6 million. In addition, Sudamin is the exclusive representative of the military vehicle manufacturer AM General Humvee (www.amgeneral.com ) whose sales in Colombia through Sudamin are expected to be in the millions of dollars for 2010. Sudamin is also the exclusive representative of the Brazilian aircraft manufacturer's Embraer (www.embraer.com) Super Tucano-314 military aircraft for Colombia. In conjunction with a French defense equipment manufacturer, Sudamin was awarded a contract to improve the electronic counter measures ("ECM") for Colombia's Presidential Aircraft. In the aggregate, Sudamin's total contract awards for 2010 currently exceed $20 million.
Under the terms of the MOU, TADF shall acquire 100% of the outstanding stock of Sudamin, and Sudamin shall become a wholly owned subsidiary of TADF. Upon Closing of the Transaction, Sudamin shareholders shall receive a number of shares to-be-determined subject to further mutual due-diligence execution of definitive agreements.
