Sterling Bancorp Announces Pricing of Underwritten Public Offering of Common Shares
NEW YORK, March 16 /PRNewswire-FirstCall/ -- Sterling Bancorp (NYSE: STL) (the "Company" or "Sterling"), today announced that it has priced its underwritten public offering of 7,500,000 Common Shares at a price to the public of $8.00 per share. The offering is expected to close on March 19, 2010. The offering was increased from the previously announced offering of approximately 5.1 million Common Shares.
The proceeds from the offering will qualify as tangible common equity and Tier 1 regulatory capital, and will be used by the Company for general corporate purposes.
Stifel, Nicolaus & Company, Incorporated is the sole book-running manager in the offering. The co-manager is Keefe, Bruyette & Woods, Inc. The Company has granted to the underwriters a 30-day option to purchase up to an additional 1,125,000 Common Shares to cover over-allotments, if any.
The shares will be issued pursuant to a prospectus supplement and an accompanying base prospectus filed as part of the Company's effective shelf registration statement on Form S-3 (File No. 333-158115).
