WINDSOR, Conn., April 3, 2018 /PRNewswire/ -- SS&C Technologies Holdings, Inc. (the "Company" or "SS&C") (NASDAQ: SSNC) today announced the pricing of its previously announced public offering of 26,315,000 shares of its common stock at a public offering price of $47.50 per share. SS&C has granted the underwriters a 30-day option to purchase up to an additional 3,947,250 shares of common stock sold in the offering. The offering is scheduled to close on April 6, 2018, subject to customary closing conditions.
The Company intends to use approximately $728 million of the net proceeds of this offering, together with the proceeds from debt financing transactions, to finance its pending acquisition of DST Systems, Inc. ("DST"). The Company intends to use the remaining net proceeds for general corporate purposes, which may include the repayment of indebtedness or funding for future acquisitions. Completion of the offering is not contingent upon consummation of the acquisition of DST or the terms of the acquisition. If the acquisition of DST is not consummated for any reason, the Company will use all of the net proceeds from this offering for general corporate purposes.
The offering is being made through an underwriting group led by Credit Suisse Securities (USA) LLC and Morgan Stanley & Co. LLC, who are acting as lead book-running managers.
