Scientific Games Announces New General Counsel Andrew Tomback
NEW YORK, Dec. 5, 2013 /PRNewswire/ -- Scientific Games Corporation (Nasdaq: SGMS) (the "Company") today announced that Andrew E. Tomback has joined the Company as Senior Vice President and General Counsel, effective December 1, 2013.
Mr. Tomback comes to Scientific Games with 25 years of experience in government service, business and private practice. Prior to joining the Company, Mr. Tomback was a Partner at Zuckerman, Spaeder LLP, a premier Washington D.C.-based litigation firm where he was a key litigator in the firm's New York office. Previously, he was a Partner at Milbank, Tweed, Hadley and McCloy LLP.
Prior to entering private practice, Mr. Tomback was Deputy General Counsel of the Resolution Trust Corporation, and he also served as an Assistant U.S. Attorney in the Criminal Division of the U.S. Attorney's Office, Southern District of New York. He received his Bachelor of Arts summa cum laude from Yale College and his Juris Doctorate from Yale Law School.

On December 5, 2013, Mr. Tomback will receive a grant of 100,000 restricted units (RSUs) and a grant of stock options to purchase 200,000 shares of the Company's common stock (with an exercise price equal to the average of the high and low sales prices of the Company's stock on December 4, 2013, and a ten-year term), which awards are scheduled to vest in one-fourth increments on each of the first four anniversaries of December 2, 2013. The RSUs and stock option grants were approved as employment inducement grants pursuant to Nasdaq Listing Rule 5635(c)(4).
