CHICAGO, May 8, 2023 /PRNewswire/ -- Ryerson Holding Corporation (NYSE: RYI) (the "Company" or "Ryerson") announced today the closing of an underwritten secondary public offering of 2,630,700 shares of its common stock by an affiliate of Platinum Equity LLC (the "Selling Stockholder"). Ryerson did not offer any shares of its common stock in the offering and did not receive any of the proceeds from the sale of the shares offered by the Selling Stockholder.
Concurrently with the completion of the offering, Ryerson repurchased directly from the Selling Stockholder 1,369,300 shares of common stock. The price per share paid by the Company equaled the price at which the underwriter purchased the shares from the Selling Stockholder in the offering, net of underwriting discounts and commissions. The Company funded the share repurchase with cash on hand.
Jim Claussen, Ryerson's Chief Financial Officer, stated "The completed secondary offering by Platinum Equity and concurrent share repurchase by Ryerson, marks the third common equity share sale transaction by Platinum Equity since May of 2022. As a result of these transactions, Ryerson's free-float has increased from 46% to 77% of outstanding shares. In that same time period, Ryerson has returned approximately $175 million to shareholders in the forms of share repurchases and dividends as our capital allocation strategy continues to prioritize long-term shareholder value creation."
