FORT WORTH, Texas, April 25, 2011 /PRNewswire/ -- RadioShack Corp. (NYSE: RSH) announced today that it plans to offer $300 million in aggregate principal amount of Senior Notes due 2019, subject to market and other conditions. The notes will be offered and sold to qualified institutional buyers in the United States pursuant to Rule 144A and outside the United States pursuant to Regulation S under the Securities Act of 1933, as amended (the "Securities Act").
The notes will bear interest at a rate to be determined by negotiations between RadioShack and the initial purchasers, and will be guaranteed on a senior basis by certain of RadioShack's existing and future subsidiaries.
RadioShack intends to use net proceeds from the offering for general corporate purposes, which may include the funding of share repurchase programs.
These senior notes have not been registered under the Securities Act or any state securities laws and may not be offered or sold in the United States without registration or an applicable exemption from the registration requirements of the Securities Act.
