NEWPORT BEACH, CA, Nov. 16, 2011 /PRNewswire/ - Pioneer Exploration Inc. ("Pioneer") acquired all of the issued and outstanding shares in the capital of IBA Green, Inc. from Angelo Scola on October 28, 2011, which included the business assets of IBA Green, including all cash, property, contracts, equipment, goodwill, intellectual property, including all patents registered in the name of IBA Green or the name of any affiliate, and other assets used in or related to the business of IBA Green, for a purchase price of $3.85 million payable by the issuance of 38.5 million restricted shares in the capital of Pioneer.
Change in Directors and Executive Officers
Effective November 14, 2011 Thomas Brady resigned as a Director of Pioneer and effective October 28, 2011 resigned all his offices in Pioneer. Effective October 28, 2011 Angelo Scola was appointed the President, Chief Executive Officer, Chief Financial Officer, Secretary, and Treasurer of Pioneer and effective November 14, 2011 Mr. Scola was appointed the sole Director of the Company.
Change of Control
Pursuant to the purchase of IBA Green, Mr. Scola was issued 38.5 million restricted shares of Pioneer's restricted Common Stock, equal to 77.4% of the issued and outstanding capital stock of Pioneer in consideration for a 100% interest in IBA Green, Inc.
