Party City Holdings Inc. Files Registration Statement for Proposed Initial Public Offering of Common Stock

ELMSFORD, N.Y., April 25, 2011 /PRNewswire/ -- Party City Holdings Inc. (the "Company"), parent company of Amscan Holdings, Inc. ("Amscan Holdings"), today announced that it has filed a registration statement on Form S-1 with the U.S. Securities and Exchange Commission (the "SEC") relating to the proposed initial public offering of its common stock. In connection with the filing, Party City Holdings Inc. changed its name from AAH Holdings Corporation.

The offering will consist of primary shares to be sold by the Company and secondary shares to be sold by some of the Company's existing stockholders. The Company intends to use net proceeds from the proposed initial public offering to repay indebtedness and for working capital and other general corporate purposes.

A registration statement relating to these securities has been filed with the SEC but has not yet become effective. These securities may not be sold, nor may offers to buy be accepted, prior to the time the registration statement becomes effective.

Goldman, Sachs & Co. and BofA Merrill Lynch, along with Barclays Capital and Deutsche Bank Securities, will serve as bookrunners for the proposed initial public offering.
