Pacific Continental Files Form S-3 Shelf Registration Statement
EUGENE, Ore., March 25 /PRNewswire-FirstCall/ -- Pacific Continental Corporation (Nasdaq: PCBK), the bank holding company for Pacific Continental Bank, today announced that it has filed with the Securities and Exchange Commission a universal shelf registration statement on Form S-3 providing for the offer and sale from time to time of up to $75 million of securities, including equity, debt and other securities as described in the registration statement. Specific terms and prices will be determined at the time of each offering under a separate prospectus supplement, which will be filed with the SEC at the time of any offering.
Hal Brown, chief executive officer, said, "Although we have no current commitments to sell additional securities or for any strategic transactions, the shelf registration statement will provide the Company with additional flexibility and better positions us to move quickly in the event a consolidation opportunity develops."
The registration statement has been filed with the SEC but has not yet become effective.
