Pacific Continental Corporation Files to Renew Form S-3 Shelf Registration Statement
EUGENE, Ore., April 1, 2013 /PRNewswire/ -- Pacific Continental Corporation (Nasdaq: PCBK), the holding company of Pacific Continental Bank, today announced that it has filed to renew its universal shelf registration statement on Form S-3 with the Securities and Exchange Commission ("SEC"). Pacific Continental Corporation previously filed a form S-3 registration in March 2010, which was set to expire. The Shelf Registration Statement, when declared effective by the SEC, will provide the Company the ability to offer up to $100 million of securities, including equity, debt and other securities as described in the registration statement. After the shelf registration is renewed, the Company may offer such securities from time to time and through one or more methods of distribution, subject to market conditions and the Company's capital needs. Specific terms and prices will be determined at the time of each offering under a separate prospectus supplement, which will be filed with the SEC at the time of any offering.
Hal Brown, Pacific Continental's chief executive officer, said, "Although we currently have no plans to offer additional securities, the shelf registration continues to provide capital flexibility in the event an opportunity should arise."
This press release shall not constitute an offer to sell or a solicitation of an offer to buy, nor shall there be any sale of these securities in any jurisdiction in which an offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such jurisdiction. Any offering of the securities covered under the shelf registration statement will be made solely by means of a prospectus and an accompanying prospectus supplement relating to that offering.
