Pacific Announces Significant Support from Noteholders and Lenders Exceeding 75%
TORONTO, May 6, 2016 /PRNewswire/ - Pacific Exploration & Production Corp. (TSX: PRE) (BVC: PREC) in connection with its previously announced comprehensive restructuring transaction (the "Restructuring Transaction") with (i) The Catalyst Capital Group Inc., on behalf of investment funds managed by it ("Catalyst"), (ii) certain holders of the Company's unsecured notes (the "Supporting Noteholders"), (iii) certain of the Company's lenders under its credit facilities (the "Supporting Lenders", and together with the Supporting Noteholders, the "Supporting Creditors"), today announced support for the Restructuring Transaction from the Supporting Creditors holding approximately 75.07% of the aggregate principal amount of the debt held by the Company's noteholders and lenders under the Company's credit facilities.
This significant amount of support is now well in excess of 662/3%, one of the two key voting thresholds necessary for creditor approval of the Restructuring Transaction under the Companies' Creditors Arrangement Act.
"With this first hurdle now firmly passed we look forward to working with Catalyst, the courts and other stakeholders to complete the Restructuring Transaction process as quickly as possible," said Ronald Pantin, Chief Executive Officer of the Company. "Not only is this good news for Pacific, but also for the various countries in which we operate, including Colombia and Peru, our approximately 2,400 employees and more than 3,000 contract workers, suppliers, customers and other stakeholders who recognize the benefits of having a partner like Catalyst."
Next Steps
Pacific expects to complete the Restructuring Transaction by the end of the third quarter of 2016, subject to obtaining all relevant and required regulatory, creditor and court approvals.
All operations of the Company's subsidiaries (the "Pacific Subsidiaries"), including the Colombian Branches, are expected to continue as normal throughout this process. Importantly, the Company expects regular payments will be made to all of the Pacific Subsidiaries' suppliers, trade partners, and contractors across the jurisdictions in which it operates in accordance with local regulations. Additionally, employees will continue to be paid throughout this process, without disruption. The Company's bank indebtedness and indebtedness in respect of its senior unsecured notes will be restructured pursuant to the terms of the Restructuring Transaction.
