Notify Technology Corporation Announces Results of Annual Meeting of Shareholders

SAN JOSE, Calif., Aug. 25, 2011 /PRNewswire/ -- Notify Technology Corporation (Pink Sheets: NTFYD) today announced the results of its Annual Meeting of Shareholders held on Friday, August 12, 2011 at the company's principal offices in San Jose, California.  Shareholders at the meeting considered and approved all proposals recommended by the company's Board of Directors.  One of those proposals was to amend the company's Amended and Restated Articles of Incorporation to effect a reverse stock split whereby every two hundred (200) issued and outstanding shares of Common Stock are combined and consolidated into one (1) share of Common Stock.  The reverse split became effective on Friday, August 12, 2011.  Any shareholder holding partial shares after the reverse split will be entitled to receive a pro-rated cash payment, without interest, determined by multiplying the fractional share interest to which the holder would otherwise be entitled by the fair market value of the Common Stock as determined by the company's Board.
