Morningstar, Inc. Reports Third-Quarter 2015 Financial Results
CHICAGO, Oct. 21, 2015 /PRNewswire/ -- Morningstar, Inc. (NASDAQ: MORN), a leading provider of independent investment research, today announced its third-quarter 2015 financial results. The company reported net income of $33.5 million, or 76 cents per diluted share, compared with $30.2 million, or 67 cents per diluted share, in the third quarter of 2014.
Key Operating Metrics
- Revenue for the quarter was $195.3 million, an increase of 1.1% compared with the same period in 2014. Organic revenue, which excludes the effect of acquisitions, divestitures, and foreign currency translations, rose 4.9%, or $9.5 million.
- Operating income was $46.2 million, or 23.7% of revenue, an increase of 2.2% compared with the third quarter of 2014.
- Free cash flow was $63.3 million, reflecting cash provided by operating activities of $75.6 million and capital expenditures of $12.3 million, an increase of $66.7 million in free cash flow compared with the same period in 2014. Free cash flow in the prior-year period included a $61.0 million payment for a previously announced litigation settlement.
Joe Mansueto, chairman and chief executive officer of Morningstar, said, "While Morningstar Direct and Morningstar Data had strong revenue growth this quarter, two of our key investment areas faced some headwinds. New issuance volume for our credit ratings business remained strong, but market volatility still adversely affected us during the quarter. Also, negative market returns this year restrained asset growth for Morningstar Managed Portfolios.
"Currency movements continued to be a major factor in our results this quarter, as strength in the U.S. dollar reduced revenue from our international operations when translated into U.S. dollars."
Mansueto added, "On the expense side, while headcount remained stable for the first nine months of the year, we recently accelerated the pace of hiring to support our key investment areas."
Update on Key Investment Areas
As part of its long-term strategy, Morningstar has five major areas of focus for investment—Retirement Solutions, Morningstar Direct, Morningstar Managed Portfolios, Morningstar Credit Ratings, and Morningstar Indexes. In the third quarter of 2015:
- Revenue for Retirement Solutions was up 14.9% year over year, and total assets under management and advisement rose 11.7% to $85.7 billion.
- Licenses for Morningstar Direct rose 15.2% to 11,111 as of Sept. 30, 2015.
- Assets under management and advisement for Morningstar Managed Portfolios totaled $12.2 billion as of the end of the quarter, compared with $12.0 billion as of the same date in 2014.
- Morningstar Credit Ratings completed 17 new-issue ratings for commercial mortgage-backed securities, compared with 19 in the same period a year ago.
- The company continued adding new clients and developing new products for Morningstar Indexes, which is a small but growing part of the business.
Balance Sheet and Capital Allocation
- As of Sept. 30, 2015, cash, cash equivalents, and investments totaled $263.0 million, compared with $224.6 million as of Dec. 31, 2014, and the company had no short-term debt.
- The company expects to pay approximately $8.4 million for its regular quarterly dividend on Oct. 30, 2015.
- In the third quarter of 2015, the company repurchased approximately 31,000 shares of common stock for $2.4 million. As of Sept. 30, 2015, the company had $143.4 million remaining under the current authorization for future repurchases and 44.2 million shares of common stock outstanding.
Comparability of Year-Over-Year Results
Certain items affected the comparability of third-quarter 2015 results versus the same period in 2014:
- Foreign currency translations reduced operating income by $1.2 million during the third quarter, including a negative effect on revenue of $7.3 million and a favorable effect on operating expense of $6.1 million.
- Effective Jan. 1, 2014, the company made changes to its sales commission plan that require a different accounting treatment, resulting in an additional $2.5 million and $0.8 million of amortized commission expense from the previous plan in the third quarters of 2014 and 2015, respectively.
Use of Non-GAAP Financial Measures
The tables at the end of this press release include a reconciliation of the non-GAAP financial measures used by the company to comparable GAAP measures and an explanation of why the company uses them.

Reconciliations of Non-GAAP Measures with the Nearest Comparable GAAP Measures (Unaudited) |
|||||||
To supplement Morningstar's condensed consolidated financial statements presented in accordance with U.S. Generally Accepted Accounting Principles (GAAP), the company uses the following non-GAAP measures: consolidated revenue excluding acquisitions, divestitures, and the effect of foreign currency translations (organic revenue), operating income, excluding the previously announced litigation settlement (adjusted operating income), operating margin, excluding the litigation settlement (adjusted operating margin), and free cash flow. These non-GAAP measures may not be comparable to similarly titled measures reported by other companies. |
|||||||
Morningstar presents consolidated revenue excluding acquisitions, divestitures, and the effect of foreign currency translations (organic revenue) because the company believes this non-GAAP measure helps investors better compare period-over-period results. |
|||||||
Morningstar presents adjusted operating income and adjusted operating margin (operating income and operating margin excluding the litigation settlement) to show the effect of this charge, better reflect period-over-period comparisons, and improve overall understanding of our current and future financial performance. |
|||||||
In addition, Morningstar presents free cash flow solely as supplemental disclosure to help investors better understand how much cash is available after making capital expenditures. Management uses free cash flow to evaluate its business. Free cash flow should not be considered an alternative to any measure required to be reported under GAAP (such as cash provided by (used for) operating, investing, and financing activities). |
