NEW YORK, May 23, 2022 /PRNewswire/ -- Notice is hereby given that Monteverde & Associates PC has filed a class action lawsuit in the United States District Court for the Central District of California, Case No. 2:22-cv-03403, on behalf of public common shareholders of Resonant Inc. ("Resonant" or the "Company") who held Resonant securities as of expiration of the tender offer from Murata Electronics North America, Inc. ("Murata") on March 25, 2022, and were harmed by Resonant, Resonant's Chief Executive Officer, George B. Holmes, and Resonant's Chief Financial Officer, Martin S. McDermut, alleging violations of Sections 14(e) and 20(a) of the Securities Exchange Act of 1934 ("Exchange Act") in connection with the tender offer by Murata to purchase all outstanding shares of Resonant ("Tender Offer").

The complaint alleges that the Offer Price was inadequate and that the Recommendation Statement provided stockholders with materially incomplete and misleading information, in violation of Sections 14(e) and 20(a) of the Exchange Act. The Tender Offer was completed on March 28, 2022.
