Monsanto Shareowners Reelect Board Members at the Company's Annual Meeting

ST. LOUIS, Jan. 25, 2011 /PRNewswire/ -- Monsanto Company (NYSE: MON) today announced that at its annual meeting, shareowners elected three members of its Board of Directors to new terms:

• Laura K. Ipsen
• William U. Parfet
• George H. Poste, Ph.D., D.V.M.

Each of these members was elected to serve until the company's 2014 annual meeting.

In addition, the company announced that Monsanto's Board of Directors, at a regularly scheduled meeting held today, declared a quarterly dividend on its common stock of 28 cents per share.  The dividend relates to the company's second quarter of its 2011 fiscal year and is payable on April 29, 2011, to shareowners of record on April 8, 2011.

In other matters, at the annual meeting shareowners approved (by non-binding vote) the compensation of the company's named executive officers, as described in the company's 2010 proxy statement.  The company was pleased that shareowners voted to approve the measure, and expects to continue its long-standing shareowner outreach program, including dialogue about the important topic of executive compensation and its linkage to company performance.  

In addition, shareowners elected to vote on executive compensation matters every year.  In accordance with the results of this vote, the Board of Directors determined to implement an annual advisory vote on executive compensation.

Shareowners also approved the performance goals under the company's Code Section 162(m) Annual Incentive Plan for Covered Executives, and ratified the appointment, by the Audit and Finance Committee of the Board, of Deloitte & Touche LLP as the company's independent registered public accounting firm for the 2011 fiscal year.
