Mindpix Corp. Provides Updates to Shareholders

ORLANDO, Fla., June 26, 2012 /PRNewswire/ -- Mindpix Corp.'s (Pink: MPIX), provides updates to their shareholders.

This past year we have seen tremendous growth and changes to our companies; some of which will be addressed in this letter.  We have engaged the services of legal and auditing firms who are experienced working with private and publicly trading companies. The firms will be overseeing the independent auditing committee for Mindpix Corp. The auditing committee has already begun to work in association with our company's securities legal counsel and auditors to help expedite the completion of audits. After working with our legal and financial auditing committee the company determined that the merger agreement between eMax Media Inc and Mindpix Corp. had to be changed for the benefit of our shareholders and completing audits more timely and proficiently.  The companies agreed to amend the merger, as of May 31, 2011, to a music master licensing agreement. The music master licensing agreement between eMax Media and Mindpix Corp. is the first of several business transactions that will be executed between the two companies which will maintain and add value to Mindpix Corp. and their shareholders.

Both eMax Media and Mindpix Corp. stated, "We have agreed to amend the original merger agreement between Mindpix Corp. and  eMax Media Inc to be a media music licensing agreement. At this time both parties are under the agreement that the licensing agreement is a more sufficient process to  transfer the assets into Mindpix Corp. while limiting potential liabilities to the Mindpix Corp. shareholders. Both parties are under the agreement to amend the merger agreement to now be the represented licensing agreement and with all terms and conditions of the licensing agreement to be held effective as the same closing date of the intended merger agreement signing date of May 31, 2011. Both parties, also have agreed that they have  been working under a merger agreement with Mindpix Corp. for the past year. Under that agreement, there were obligations and responsibilities for both parties eMax Media Inc and Mindpix Corp. Mindpix Corp. has been unable to perform on several deliverable items including but not limited to financial statements, disclosures, and timely state filings. For the past year, we have worked diligently with the parties involved to remedy the contract deficiencies in prior year accounting and state filings. However, it has become necessary to amend  certain provisions of the agreement. Both parties agree to the music licensing agreement between Mindpix Corp. and eMax Media Inc which reflects a stronger move forward for all parties and most particularly our shareholders."

eMax Media Inc announced the appointment of Denny Diante as its President. He will oversee the corporate activities of eMax Media and Mindpix Corp.'s music divisions.  Denny Diante brings several music tribute projects to eMax Media and Mindpix Corp., which are scheduled for production starting third quarter of 2012.  Denny Diante stated, "I am more excited than ever about the new media projects in development and the revenue potential for Mindpix and eMax Media Group.
