BETHESDA, Md., June 28, 2021 /PRNewswire/ -- MidCap Financial Issuer Trust (the "Company") today announced that it is proposing to issue $400 million aggregate principal amount of senior notes due 2030 (the "Notes") in a private offering that is exempt from the registration requirements of the Securities Act of 1933, as amended (the "Securities Act"). The offering is subject to market conditions and other factors.
The Company intends to use the net proceeds from the offering to repay a portion of its existing revolving indebtedness, to pay related fees and expenses and for general corporate purposes.
The Notes are being offered only to persons reasonably believed to be qualified institutional buyers in reliance on Rule 144A under the Securities Act that are also "qualified purchasers" (as defined in Section 2(a)(51) of the Investment Company Act of 1940, as amended).
