Medizone International Announces Withdrawal of Registration Statement
KALAMAZOO, Mich., March 23, 2018 /PRNewswire/ -- Medizone International, Inc. (OTCQB:MZEI) or Medizone, manufacturer of the AsepticSure® system, today announced that the Company has submitted a request to the Securities and Exchange Commission to withdraw its S-1 Registration Statement (File No. 333-222991) (the "Registration Statement") on file with the U.S. Securities and Exchange Commission (the "SEC"). The Registration Statement has not been declared effective by the SEC, and no securities have been sold in connection with the offering described in the Registration Statement.
Medizone requested permission to withdraw the Registration Statement to allow the company to amend certain terms of the previously announced Equity Purchase Agreement, dated January 31, 2018, with L2 Capital, LLC ("L2") and SBI Investments LLC, 2014-1 ("SBI" and together with L2, the "Investors"), pursuant to which the Investors committed to purchase in the aggregate, up to $10,000,000 of value of our Common Stock and to re-file a registration statement following the amendment. The terms of the Equity Purchase Agreement have been amended and Medizone intends to re-file a registration statement on Form S-1 as soon as practicable.
