Media Sciences Files Certificate of Dissolution
GOSHEN, N.Y., July 25, 2013 /PRNewswire/ -- Media Sciences International, Inc. (OTCPK: MSII) (the "Company") announced today that it has filed a certificate of dissolution with the Secretary of State of the State of Delaware (the "Certificate of Dissolution"), as contemplated by the Plan of Dissolution previously approved by the Company's Board of Directors and stockholders. The Certificate of Dissolution provides for the dissolution of the Company under Delaware's General Corporation Law.
The Board of Directors intends, subject to contingencies inherent in winding up our business, to make a final distribution to stockholders as promptly as practicable once we satisfy our remaining obligations. To the extent that there are assets available after our obligations have been satisfied, we intend that any liquidating distributions to the stockholders will be in the form of cash. Liquidating distributions will be made to stockholders according to their holdings of our common stock as of a record date to be established as the dissolution process proceeds in accordance with Delaware law. Subject to the provisions of Delaware law, we must conclude the liquidation prior to the third anniversary of the filing of the Certificate of Dissolution with the Secretary of State of Delaware by a final liquidating distribution. However, we expect to be able to finalize the liquidation much earlier.
