BOSTON, May 13, 2015 /PRNewswire/ -- Block & Leviton LLP (www.blockesq.com), a Boston-based law firm representing investors nationwide, is investigating possible breaches of fiduciary duty by the Board of Directors of Pall Corporation ("Pall" or the "Company") (NYSE:  PLL) concerning the proposed acquisition of the Company by Danaher Corporation ("Danaher") (NYSE:  DHR) 

The enterprise value of the transaction is approximately $13.8 billion.  Upon announcement of the deal, shares of Danaher jumped almost 5%, nearly equal to the 7% premium to be paid to Pall shareholders, demonstrating the extent to which the market considers the acquisition to be favorable to the buyer.  In fact, in early trading subsequent to the announcement of the transaction, shares of Danaher demonstrated a larger gain than did those of Pall. 

Upon the completion of the transaction, expected to close in calendar year 2015, Pall will become a subsidiary of Danaher.  Pall shares had increased over 17% since the start of 2015.

Block & Leviton's investigation seeks to determine, among other things, whether directors of the Company breached their fiduciary duties by failing to maximize shareholder value in the potential acquisition, whether Danaher aided and abetted any such breaches and the process by which the directors considered and approved the transaction.
