Analyst Update: Quarterly Distributions, Merger Agreement, Earnings, and Private Placement of Shares

The U.S. stocks ended lower on Friday, sending the S&P 500 index to its biggest monthly decline in a year, as an unexpected deceleration in the U.S. fourth quarter GDP growth raised concerns over the health of world's biggest economy, curbing appeal of the risky assets. A Commerce Department data on Friday showed that the U.S. economy grew at a slower-than-expected 2.6% annualized rate in the fourth quarter versus a 5% growth in the third quarter as businesses curbed spending while trade deficit widened. The Dow Jones Industrial Average declined 1.45% to close at 17,164.95, the S&P 500 fell 1.30% to close at 1,994.99, and the Nasdaq Composite slipped 1.03% to end at 4,635.24. European equities also ended lower on Friday as data showed that consumer prices in the euro area fell more than the forecasts in January, highlighting the challenges that European Central Bank faces in its battle with deflation. Meanwhile, Asian stocks edged up on Friday, taking cues from the Wall Street where stocks rose on back of strong earnings.
Dominion Resources Black Warrior Trust (Dominion Resources Black Warrior) announced fourth quarter 2014 cash distribution of $0.180647 per unit to its unitholders. This distribution represents the quarterly royalty payment from Walter Black Warrior Basin LLC ("WBWB") reflecting production from July 1, 2014 to September 30, 2014.
Dresser-Rand Group Inc. (Dresser-Rand) announced that its stockholders approved the Company's merger agreement with Siemens Energy, Inc. (Siemens). The announcement came after a special meeting of shareholders, where 98.9% of the votes cast were voted in favor of the adoption of the merger agreement.
Dril-Quip, Inc. (Dril-Quip) reported that its third quarter 2014 net income increased to $55.7 million, or $1.40 per diluted share, from $40.0 million, or $0.98 per diluted share, in the year ago period, helped by an after-tax foreign exchange gain. The Company's net income in Q3 2014 included after-tax foreign exchange gain of $3.1 million, or $0.08 per diluted share, versus an after-tax foreign exchange loss of $5.8 million, or $0.14 per diluted share, during the third quarter of 2013.
ECA Marcellus Trust I (ECA Marcellus), a trust formed by Energy Corporation of America, announced $0.203 per unit distribution for its unit holders for the quarter ended September 30, 2014. This compares to the distribution of $0.281 per unit the Trust had announced in the previous quarter.
Eclipse Resources Corporation (Eclipse) announced that it will raise approx. $434 million via private placement of 62.50 million shares of the Company's common stock. The purchasers include affiliates of EnCap Investments, L.P., entities controlled by certain members of management of the Company, and other selected institutional and accredited investors.
