International Drug & Explosives Detection Company IDenta Corp. Comments on Current OTC MARKETS Status
JERUSALEM, July 11, 2011 /PRNewswire/ -- IDenta Corp. (PINKSHEETS: IDTA) CEO Yaacov Shoham today issued the following statement concerning the current status of the company.
Mr. Shoham stated, "We have received last Friday the following letter from otcmarkets.com."
Dear IDenta Corp.
Your company has been labeled with Caveat Emptor (CE) for the following reason:
Public Interest Concern – There is unusual trading in terms of price and/or volume of your security without adequate current information available for investors.
The Caveat Emptor symbol (a Skull and Crossbones icon) will remain on the company profile for a minimum of 30 days and until the company qualifies for Current Information. During the time it is labeled Caveat Emptor, any stock that is not in Current Information will also have its quotes blocked on otcmarkets.com. Companies can qualify for Current Information by doing the following:
SEC Filers – Get current in all financial reporting obligations.
Non SEC Filers - Must post the following information using the OTC Disclosure and News Service:
Initial Company Information and Disclosure Statement pursuant to the Guidelines for Providing Adequate Current Information
An Attorney Letter with Respect to Adequate Current Information pursuant to OTC Markets' Guidelines for Attorney Letters with Respect to Adequate Current Information

Mr. Shoham has offered the following response,
1. Because "There is unusual trading in terms of price and/or volume of your security without adequate current information available for investors".
Publishing a press release (IDenta's press release from last Friday) with numbers is definitely adequate current information, it has caused large trading volume, and definitely cannot be the reason for the caveat emptor tier.
We do not control the volume and price of the share. It is a very dangerous accusation from the OTC side.
2. The "Public Interest Concern" was created by a few people who have sent a letter to the SEC a few weeks ago. We have the names and their information and I will publish their names and address in the near future. We want to find out what is the motivation of those people to hurt IDenta's loyal stock holders. It surprises us that the OTC has not asked any answer from IDenta to the "accusations".
As far as we are aware in a modern society such steps are unacceptable. IDenta has rights like any other companies trading on the OTC stock market.
3. OTC defines the tiers:
Caveat Emptor:
Buyer Beware. There is a public interest concern associated with the company, which may include a spam campaign, questionable stock promotion, known investigation of fraudulent activity committed by the company or insiders, regulatory suspensions, or disruptive corporate actions. During the time it is labeled Caveat Emptor, any stock that is not in the Current Information category will also have its quotes blocked on otcmarkets.com.
We are definitely not in this situation. Nothing from above fits our company. OTC will have to change IDenta's tier if they want to or not. It may take some days.
No information:
Indicates companies that are not able or willing to provide disclosure to the public markets - either to a regulator, an exchange or OTC Markets Group. Companies in this category do not make Current Information available via OTC Markets Group's News Service, or if they do, the available information is older than six months. This category includes defunct companies that have ceased operations as well as 'dark' companies with questionable management and market disclosure practices. Publicly traded companies that are not willing to provide information to investors should be treated with suspicion and their securities should be considered highly risky.
This description is much more likely IDenta's current situation.
We at IDenta know exactly what is IDenta's situation and the future of the company. It is completely different, it is a new era for the company after many years of hard work. Nothing is created in a short time. Some times it takes years to penetrate the markets with some new and unique products.
People have to know what happened, otherwise we will have difficult days and weeks ahead at the stock market.
4. Today I have sent already a detailed answer to the OTC Markets.
Finally, Mr. Shoham has concluded that IDenta is in compliance with OTC pink status which requires no reporting as explained in the following OTC guidelines.
OTC Pink
The Speculative Trading Marketplace
OTC Pink is the third tier of the OTC market. OTC Pink is the speculative trading marketplace that has no financial standards or reporting requirements. OTC Pink companies choose the level of information they provide to investors and may have current, limited or no public disclosure.
