Infinity Property and Casualty Holds Annual Meeting of Shareholders
BIRMINGHAM, Ala., May 19, 2015 /PRNewswire/ -- Infinity Property and Casualty Corporation (NASDAQ: IPCC) today announced that the shareholders elected the eight director nominees to the Board of Directors at today's Annual Shareholders' Meeting. Other actions taken at the Annual Meeting included the approval by the shareholders of the proposals to ratify the appointment of Ernst & Young LLP as Infinity's independent registered public accounting firm, to approve, on an advisory basis, the compensation of Infinity's named executive officers, and to approve the annual executive bonus plan.
Re-elected for one year terms were Angela Brock-Kyle, former Managing Director and member of the leadership team with TIAA-CREF; Teresa A. Canida, President of Taplin, Canida & Habacht LLC; James R. Gober, Chairman, CEO and President of Infinity; Harold E Layman, member of the Board and retired CEO of Blount International, Inc.; E. Robert Meaney, industrial sector consultant; Drayton Nabers Jr., Director of Samford University's Frances Marlin Mann Center for Ethics and Leadership; William Stancil Starnes, Chariman and CEO of ProAssurance Corporation; and Samuel J Weinhoff, insurance industry consultant.
At today's Board of Directors meeting, the following individuals were elected to serve as officers for one year terms: James R. Gober, Chairman of the Board, Chief Executive Officer and President; Samuel J. Simon, Executive Vice President, General Counsel and Assistant Secretary; Roger Smith, Executive Vice President, Chief Financial Officer and Treasurer; Glen N. Godwin, Senior Vice President, Business Development; Scott C. Pitrone, Senior Vice President, Product Management; Troy P. Ballard, Assistant Treasurer; Mary Linn Clark, Assistant Treasurer; Amy K. Jordan, Vice President and Controller; and James H. Romaker, Secretary and Associate General Counsel.
