Handy & Harman Ltd. Announces Final Results of Tender Offer
WHITE PLAINS, N.Y., Sept. 11, 2014 /PRNewswire/ -- Handy & Harman Ltd. (NASDAQ: HNH) ("HNH" or the "Company") announced today the final results of its previously announced tender offer to purchase for cash up to $60 million in value of its common stock, par value $0.01 per share, at a price of $26.00 per share. The tender offer expired at 5:00 P.M., Eastern Time, on September 5, 2014.
Based on the final count by Computershare Trust Company, N.A. ("Computershare"), the depositary for the tender offer, 2,099,843 shares were properly tendered and not withdrawn and have been accepted for purchase by the Company at the purchase price of $26.00 per share, for a total cost of approximately $54.6 million, excluding fees and expenses related to the tender offer.
Following consummation of the tender offer, HNH will have 10,784,560 common shares outstanding.
Computershare will promptly issue payment for the common shares validly tendered and accepted for purchase in accordance with the terms and conditions of the tender offer.
