Guidance(GUID) Alert: J&W Investigates Proposed Sale of Guidance Software, Inc.; Is $7.10a Fair Price?

On July 26, 2017, Guidance announced that it had signed a definitive merger agreement with OpenText. Terms of the deal call for shareholders to receive $7.10 per share for each share of Guidance stock they own.
The investigation concerns whether the Guidance board failed to satisfy its duties to the Company shareholders, including whether the board adequately pursued alternatives to the acquisition and whether the board obtained the best price possible for Guidance shares of common stock.
