GRUPO AEROMÉXICO, S.A.B. DE C.V. ANNOUNCES LAUNCH OF PRIVATE OFFERING OF NOTES
MEXICO CITY, Oct. 28, 2024 /PRNewswire/ -- Grupo Aeroméxico, S.A.B. de C.V. ("Aeroméxico"), the only full-service carrier in Mexico providing long-haul, wide-body service and a premium experience to destinations across 21 countries and multiple continents, today announced that it has launched an offering of senior secured notes due 2029 (the "2029 Notes") and senior secured notes due 2031 (the "2031 Notes" and together with the 2029 Notes, the "Notes"). The proceeds from the offering of the Notes are expected to be used to redeem in full the senior secured notes due 2027 previously issued by Aeroméxico, with an aggregate principal amount outstanding of $662.5 million, and the remainder for general corporate purposes.
The Notes will be guaranteed by Aeroméxico's subsidiaries, Aerovías de Mexico, S.A. de C.V., Aerolitoral, S.A. de C.V., Aerovías Empresa de Cargo, S.A. de C.V. and PLM Premier, S.A.P.I. de C.V. Consummation of the offering of the Notes is subject to market and other conditions.
The Notes have not been and will not be registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from registration under the Securities Act and applicable state securities laws. The Notes will be offered in the United States only to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act and outside the United States to non–U.S. persons pursuant to Regulation S under the Securities Act. The Notes have not been and will not be registered with the Mexican National Securities Registry (Registro Nacional de Valores, or "RNV"), maintained by the National Banking and Securities Commission (Comisión Nacional Bancaria y de Valores, or "CNBV") and, therefore may not be offered or sold publicly in Mexico, except that the Notes may be offered in México to investors that qualify as institutional or qualified investors as defined under the Mexican Securities Market Law (Ley del Mercado de Valores) and regulations thereunder, pursuant to the private placement exemption set forth in article 8 of the Mexican Securities Market Law (Ley del Mercado de Valores) and regulations thereunder.
