Greenbrier Announces Proposed Underwritten Public Offering of Common Stock
LAKE OSWEGO, Ore., May 3 /PRNewswire-FirstCall/ -- The Greenbrier Companies (NYSE: GBX) today announced that it has commenced an offering of 4,500,000 shares of its common stock pursuant to an underwritten public offering. In connection with the offering, Greenbrier intends to grant the underwriters an option for 30 days to purchase up to an additional 675,000 shares of its common stock to cover over-allotments, if any. The offering will be made pursuant to a shelf registration statement filed with the Securities and Exchange Commission on April 7, 2010, which has been declared effective, and a preliminary prospectus supplement, filed with the SEC on May 3, 2010.
Greenbrier intends to use the net proceeds for general corporate purposes, including working capital, capital expenditures, repayment or repurchase of a portion of indebtedness or acquisitions of, or investments in, complementary businesses and products.
