Greenberg Traurig Represents Energa S.A. in its IPO on the WSE

WARSAW, Poland, Dec. 12, 2013 /PRNewswire/ -- A team of attorneys in the Warsaw office of the international law firm Greenberg Traurig advised Energa S.A. on its initial public offering of shares and listing on the Warsaw Stock Exchange. The value of the IPO was PLN2.4 billion (USD780 million), making it the largest IPO in Central Europe in over two years.

Greenberg Traurig provided Energa S.A. with comprehensive legal advice with respect to Polish, English and American law in connection with the preparation and consummation of the IPO, including the overall structure of the IPO and all transaction documentation. The Polish State Treasury sold over 141.5 million shares at PLN17 each, in a public offering in Poland addressed to Polish individual and institutional investors, as well as certain foreign institutional investors, including qualified institutional buyers in the United States, in accordance to Rule 144A, and outside the United States pursuant to Regulation S.

The Greenberg Traurig team was led by Warsaw managing partner Jaroslaw Grzesiak and partner Rafal Sienski. They were supported by partner Federico Salinas, local partner Michal Biel, senior associate Mateusz Chmielewski and associate Mateusz Zalenski.

Energa makes most of its profit from a regulated power-distribution business, delivering electricity to 2.9 million homes and businesses. It is the third largest energy supplier in Poland, and a national leader in production of energy from renewable sources. Energa is also one of biggest employers in Poland.
