Greenberg Traurig Advises Constellis Group, Inc. on Employee Stock Ownership Plan
RESTON, Va., Feb. 25, 2014 /PRNewswire/ -- The international law firm Greenberg Traurig, LLP, represented Constellis Group, Inc. ("Constellis") in its acquisition by a newly-formed employee stock ownership plan ("ESOP") sponsored by Constellis. Constellis is a global provider of mission support, security, training and advisory services to governments and multi-national companies.
Greenberg Traurig's transaction team was led by shareholders Scott Meza, Tim Jessell, and Marc Baluda. The firm provided counsel in the areas of stock acquisition and redemption, plan design, tax, employee benefits and other matters related to Constellis' ESOP structure and acquisition transaction. Additionally, Greenberg Traurig provided legal counsel in the areas of corporate and ERISA fiduciary duties. CSG Partners (www.csgpartners.com) was financial advisor to Constellis and the CSG team was led by George Thacker and Timothy Ma.
"Constellis concluded that adoption of an ESOP structure would allow its employees to share in the Company's future success and would be a win-win for all constituencies, including Constellis' clients who are directly served by the beneficiaries of the new ESOP ownership structure," said Baluda. "We are pleased to have been a part of this transition."
"An ESOP ownership structure presented a unique opportunity for Constellis' owners as they evaluated Constellis' M&A and liquidity options," added Meza. "We continue to consider ESOPs as an alternative ownership structure for some of our government contracting clients who are seeking liquidity and ways to enhance employee ownership in a tax advantaged manner."
