Golden Predator Approves Creation of Shareholder Rights Plan, Finalizes Name Change

WHITEHORSE, YT, Feb. 7, 2013 /PRNewswire/ - Golden Predator Corp. (TSX: GPD) (the "Company") announces that as a result of the recent trading volume in the stock and pending reorganization, Golden Predator's Board of Directors is investigating various alternatives to protect shareholder value including but not limited to the possible implementation of a Shareholder Rights Plan ("Rights Plan"). The Rights Plan would also be subject to the approval of the Toronto Stock Exchange and approval by a majority of the Company's shareholders at a meeting intended to be held in connection with the previously announced spinoff of the Company's exploration and development projects in the Yukon. The Company also announces the Company is proposing to proceed with a name change to Americas Bullion Royalty Corp., subject to obtaining stock exchange approval.
Rights Plan
The purpose of the Rights Plan would be to provide shareholders and the Golden Predator Board of Directors with adequate time to consider and evaluate any unsolicited bid made for the Company. In particular, the Rights Plan would provide the Board with adequate time to identify, develop and negotiate value-enhancing alternatives (if considered appropriate) to any such unsolicited bid, to encourage the fair treatment of shareholders in connection with any takeover bid for the Company and to ensure that any proposed transaction is in the best interests of the Company's shareholders.
