BELLEVUE, Wash., Sept. 18, 2017 /PRNewswire/ -- Today, Expedia, Inc. ("Expedia") announced that it has agreed to sell $1 billion aggregate principal amount of 3.800% senior unsecured notes due 2028 (the "Notes") in a private offering. The Notes will be issued at a price of 99.747% of the aggregate principal amount. The Notes will be guaranteed by certain subsidiaries of Expedia. Expedia expects to use the net proceeds from the offering for general corporate purposes, which may include, but are not limited to, (i) repayment, prepayment, redemption or repurchase of Expedia's indebtedness (including, but not limited to, Expedia's 7.456% senior notes due 2018) and (ii) working capital, capital expenditures and acquisitions. General corporate purposes may also include, without limitation, dividends, stock repurchases, investments and advances to or other investments in Expedia's subsidiaries. The private offering of the Notes is expected to close on September 21, 2017. The closing is subject to customary closing conditions, and there can be no assurance that the issuance and sale of the Notes will be consummated.
The Notes will be offered and sold only to qualified institutional buyers in the United States pursuant to Rule 144A and outside the United States pursuant to Regulation S under the Securities Act of 1933, as amended (the "Securities Act").
