Empire Company Reports Third Quarter Results
Adjusted Net Earnings of $1.17 per Diluted Share, a 9% Increase
STELLARTON, NS, March 12, 2013 /CNW/ - Empire Company Limited (TSX: EMP.A) today announced financial results for its third quarter ended February 2, 2013. For the third quarter, the Company recorded net earnings, net of minority interest, of $75.2 million ($1.11 per diluted share) compared to $80.0 million ($1.17 per diluted share) in the third quarter last year. Adjusted net earnings, net of minority interest, in the third quarter were $79.6 million ($1.17 per diluted share) compared to $73.1 million ($1.07 per diluted share) in the third quarter last year, a $6.5 million increase.
Third Quarter Highlights
- Sales of $4.34 billion, up $357.2 million or 9.0 percent (up 2.8 percent excluding the impact of the acquisition of 236 retail gas locations and related convenience store operations).
- Sobeys' same-store sales increased 1.2 percent.
- Adjusted EBITDA (1) of $209.5 million versus $199.4 million last year.
- Net earnings, net of minority interest, of $75.2 million ($1.11 per diluted share) compared to $80.0 million ($1.17 per diluted share) last year.

Dividend Declaration
The Board of Directors declared a quarterly dividend of 24.0 cents per share on both the Non-Voting Class A shares and the Class B common shares that will be payable on April 30, 2013 to shareholders of record on April 15, 2013. These dividends are eligible dividends as defined for the purposes of the Income Tax Act (Canada) and applicable provincial legislation and, therefore, qualify for the favourable tax treatment applicable to such dividends.

Sales
Consolidated sales for the 13 weeks ended February 2, 2013 were $4.34 billion compared to $3.98 billion in the third quarter last year, an increase of $357.2 million or 9.0 percent. Sobeys contributed sales to Empire of $4.28 billion versus $3.94 billion in the third quarter last year, an increase of $347.6 million or 8.8 percent. Excluding sales of $246.8 million related to the acquisition of 236 retail gas locations and related convenience store operations in the fourth quarter last year, Sobeys' sales contribution to Empire increased by $100.8 million or 2.6 percent.
Investments and other operations' sales in the third quarter were $57.2 million versus $47.6 million in the third quarter last year, an increase of $9.6 million or 20.2 percent.
EBITDA
Consolidated EBITDA in the third quarter was $203.3 million compared to $207.9 million in the third quarter last year, a decrease of $4.6 million or 2.2 percent. Adjusting EBITDA for items which are considered not indicative of underlying business operating performance, as presented in the following table, resulted in third quarter adjusted EBITDA of $209.5 million compared to $199.4 million in the third quarter last year, an increase of $10.1 million or 5.1 percent.

Operating Income
Consolidated operating income in the third quarter was $113.7 million, a decrease of $9.5 million or 7.7 percent from the $123.2 million recorded in the third quarter last year. Adjusting operating income for items which are considered not indicative of underlying business operating performance, as presented in the previous table for EBITDA, resulted in quarterly adjusted consolidated operating income of $119.9 million compared to $114.7 million in the third quarter last year, a $5.2 million or 4.5 percent increase.
Adjusted Net Earnings
The table below adjusts reported net earnings, net of minority interest, for items which are considered not indicative of underlying business operating performance. After factoring in the impact of the adjustments noted in the table, Empire recorded adjusted net earnings, net of minority interest, of $79.6 million ($1.17 per diluted share) for the 13 weeks ended February 2, 2013 compared to $73.1 million ($1.07 per diluted share) recorded in the third quarter last year, an increase of $6.5 million or 8.9 percent.

Net Earnings
Consolidated net earnings, net of minority interest, in the third quarter equalled $75.2 million ($1.11 per diluted share) compared to $80.0 million ($1.17 per diluted share) in the third quarter last year, a $4.8 million or 6.0 percent decrease.

SEGMENTED FINANCIAL RESULTS
The Company operates and reports on two business segments:
1) | Food Retailing, which consists of wholly-owned Sobeys Inc. ("Sobeys"), and |
2) | Investments and Other Operations, the principal components of which include investments in Crombie REIT (42.9 percent ownership interest; 40.8 percent fully diluted), an approximate 40.0 percent ownership interest in Genstar, as well as wholly-owned ETL Canada Holdings Limited ("Empire Theatres"). |

Sales
Empire's food retailing segment contributed sales of $4.28 billion in the third quarter of fiscal 2013 compared to $3.94 billion in the same period last year, an increase of $347.6 million or 8.8 percent. Excluding sales of $246.8 million related to the acquisition of 236 retail gas locations and related convenience store operations in the fourth quarter last year, the food retailing segment realized a sales increase of $100.8 million or 2.6 percent.
During the third quarter, same-store sales increased 1.2 percent.
Gross Profit
Sobeys recorded gross profit of $980.2 million in the third quarter, an increase of $32.8 million over the third quarter of fiscal 2012. Gross margin decreased 118 basis points from 24.11 percent in the third quarter of fiscal 2012 to 22.93 percent in the current quarter, due primarily to lower margined fuel business being included in the third quarter fiscal 2013 results but not in the comparative period. Excluding the impact of lower margin fuel sales, gross margin was 24.17 percent in the third quarter of fiscal 2013 compared to 24.30 percent in the same period last year.
EBITDA
Sobeys contributed EBITDA to Empire in the third quarter of $188.4 million compared to $191.0 million last year, a $2.6 million or 1.4 percent decrease. Adjusting for items which are considered not indicative of underlying business operating performance, as presented in the following table, resulted in an adjusted EBITDA contribution from Sobeys to Empire of $192.4 million in the third quarter compared to a $183.1 million contribution in the third quarter last year.

Operating Income
Sobeys' operating income contribution to Empire in the third quarter was $102.1 million compared to $110.6 million in the same quarter last year, a decrease of $8.5 million or 7.7 percent. Adjusting Sobeys' operating income for items which are considered not indicative of underlying business operating performance, as presented in the previous table for EBITDA, resulted in adjusted operating income contribution of $106.1 million in the third quarter compared to $102.7 million in the third quarter last year, a $3.4 million or 3.3 percent increase.
Net Earnings
During the third quarter of fiscal 2013, Sobeys contributed net earnings, net of minority interest, to Empire of $68.8 million versus $72.9 million in the third quarter last year, a decrease of $4.1 million or 5.6 percent. Sobeys contributed adjusted net earnings, net of minority interest, to Empire of $71.7 million versus $66.4 million in the third quarter last year, an increase of $5.3 million or 8.0 percent.

Sales
Investments and other operations' sales were $57.2 million in the third quarter ended February 2, 2013 versus $47.6 million in the third quarter last year, a $9.6 million or 20.2 percent increase. The increase was primarily driven by higher sales at wholly-owned Empire Theatres.
EBITDA
Investments and other operations contributed EBITDA to Empire in the third quarter of $14.9 million compared to $16.9 million last year. Adjusting for items which are considered not indicative of underlying business operating performance, as presented in the following table, resulted in adjusted EBITDA from investments and other operations of $17.1 million compared to $16.3 million last year.

Operating Income
Investments and other operations contributed operating income of $11.6 million in the third quarter ended February 2, 2013 compared to $12.6 million in the third quarter last year. Adjusting investments and other operations' operating income for items which are considered not indicative of underlying business operating performance, as presented in the previous table for EBITDA, resulted in an adjusted operating income contribution during the third quarter of $13.8 million versus $12.0 million last year.
Net Earnings
Investments and other operations contributed $6.4 million to Empire's consolidated third quarter fiscal 2013 net earnings compared to $7.1 million last year. Adjusted net earnings contribution from investments and other operations was $7.9 million versus $6.7 million in the third quarter last year.
