Dynacast International Inc. Reports Fourth Quarter and Year End December 31, 2012 Financial Results
CHARLOTTE, N.C., March 28, 2013 /PRNewswire/ -- As previously announced, the management of Dynacast International Inc. ("Dynacast") will hold a conference call at 11.00 a.m., Eastern Time, on Thursday, March 28, 2013, to review Dynacast's results for the quarter and the year ended December 31, 2012.
Net sales were $519.4 million for the year ended December 31, 2012, a $40.7 million, or 8.5%, increase from the prior year. Dynacast reported a net loss of $0.6 million for the year ended December 31, 2012 compared to net income of $8.3 million for the prior year. Adjusted EBITDA increased by $5.8 million, or 6.6%, to $93.5 million for the year ended December 31, 2012 compared to the prior year.
Net sales were $141.9 million for the quarter ended December 31, 2012, a $26.0 million, or 22.4%, increase compared to the prior year quarter. Net income increased by $0.5 million to $0.8 million for the quarter ended December 31, 2012 compared to the prior year quarter. Adjusted EBITDA increased by $4.4 million, or 21.2%, to $25.2 million for the quarter ended December 31, 2012 compared to the prior year quarter.
Results for the year ended December 31, 2012 and the period July 20, 2011 to December 31, 2011 were impacted by $15.8 and $6.9 million of additional depreciation and amortization expense, respectively, related to the allocation of the purchase price paid in the acquisition of the Dynacast business from Melrose plc on July 19, 2011. In addition, results were impacted by the weakening of the average Euro to U.S. Dollar exchange rate, which reduced net sales and adjusted EBITDA by $13.7 and $2.7 million, respectively, for the year ended December 31, 2012 compared to the prior year. For the quarter ended December 31, 2012, the weakening of the Euro reduced net sales and adjusted EBITDA by $1.6 and $0.3 million, respectively, compared to the prior year period.

Non-GAAP Measures
Adjusted EBITDA and Segment EBITDA, as used in this news release, are non-GAAP financial measures.
EBITDA is earnings before interest, other income, taxes, depreciation and amortization. We define Adjusted EBITDA as EBITDA adjusted for certain items that we believe hinder comparison of the performance of our business either year-over-year or with other businesses, including non-controlling interests, management fees, stand-alone costs, restructuring costs, professional fees and transaction costs. Items are excluded from Adjusted EBITDA because they are individually or collectively material items that we do not consider to be representative of the performance of our core business during the periods presented. We believe that the presentation of Adjusted EBITDA enhances an investor's understanding of our performance.
Segment EBITDA is calculated by adding back depreciation and amortization expense to segment operating income and subtracting non-controlling interests in EBITDA for each segment. We measure and evaluate our reportable segments based on segment operating income, which is consistent with our chief operating decision maker's assessment of segment performance. For the year ended December 31, 2012 and the period July 20, 2011 to December 31, 2011, we believe that Segment EBITDA is useful in evaluating operating profitability as it excludes the depreciation and amortization expenses resulting from the allocation of the purchase price paid in the July 19, 2011 acquisition of the Dynacast business to the tangible and intangible assets acquired and liabilities assumed, which expenses were not present during the period January 1, 2011 through July 19, 2011.
