Dynacast Announces Exchange Offer for its 9.25% Senior Secured Second Lien Notes due 2019

CHARLOTTE, N.C., June 28, 2012 /PRNewswire/ -- Dynacast International Inc. announced today that its subsidiaries, Dynacast International LLC and Dynacast Finance Inc. (the "Issuers"), are commencing an exchange offer for all of their outstanding 9.25% Senior Secured Second Lien Notes due 2019 (the "Outstanding Notes") and related guarantees, upon the terms and conditions set forth in a prospectus, dated June 28, 2012, and in the accompanying letter of transmittal relating to the exchange offer.

Under the exchange offer, the Issuers are offering to exchange all of the Outstanding Notes for a like principal amount of their 9.25% Senior Secured Second Lien Notes due 2019 that have been registered under the Securities Act of 1933, as amended (the "Exchange Notes"). The exchange offer will expire at 5:00 p.m., New York City time, on July 27, 2012, unless it is extended.

A registration statement on Form S-4 relating to the exchange offer was declared effective by the Securities and Exchange Commission on June 28, 2012.  The exchange offer is being made only pursuant to the exchange offer documents that are being distributed to holders of the Outstanding Notes, including the prospectus dated June 28, 2012, and any supplements thereto, and the related letter of transmittal.
