Noble Corporation Analyst Notes
On June 19, 2014, Noble Corporation announced that Paragon Offshore Ltd., its wholly owned subsidiary is starting the process of debt financing, in preparation for the spin-off of Paragon Offshore, in Q3 2014. According to the Company, the financing is expected to be comprised of a senior secured term loan B of approximately $550 million and senior unsecured notes of approximately $1.2 billion. The Company added that as a part of the external financing, on June 17, 2014 Paragon also entered into an $800 million senior secured revolving credit facility due 2019 with various commercial and investment banks. Magnum Hunter Resources Corporation Analyst Notes
On June 24, 2014, Magnum Hunter Resources Corporation (Magnum Hunter) announced that on June 23, 2014 the consolidated securities class action lawsuit filed against the Company last year was dismissed by the presiding judge in the United States District Court for the Southern District of New York. The Company stated that with this dismissal it has been successful in securing dismissals for a total of five separate securities class action and shareholder derivative lawsuit without involving monetary payment to plaintiffs or respective legal counsel. Magnum Hunter added that three of these lawsuits have been dismissed on motion by the defendants, while the other two were voluntarily dismissed by the plaintiffs. The Company notified that at present, Magnum Hunter is working to obtain dismissal of the last remaining shareholder derivative lawsuit. According to the Company, a Form 8-K, including a copy of the opinion and order of the United States District Court for the Southern District of New York dismissing the consolidated securities class action lawsuit, is being filed with the Securities and Exchange Commission.
