Cosan Luxembourg Announces Receipt Of Requisite Consents

SAO PAULO, June 19, 2014 /PRNewswire/ -- Cosan Luxembourg S.A. ("Cosan Luxembourg") announced today that it has successfully concluded its previously-announced Consent Solicitation for a one-time waiver with respect to certain restrictive covenants contained in the indentures governing Cosan Luxembourg's U.S.$500,000,000 aggregate principal amount of 5.000% Senior Notes due 2023 and R$850,000,000 aggregate principal amount of 9.500% Senior Notes due 2018 (the "Notes").

As a result of the successful Consent Solicitation, Cosan S.A. Industria e Comercio ("Cosan") may, in its sole discretion should Cosan decide to consummate the transactions, distribute all of its equity interests in Novo Rumo Logistica S.A., which in turn owns 75% of Rumo Logistica Operadora Multimodal S.A., or any other logistics entity of Cosan, to shareholders of Cosan and to distribute all of its equity interests in Radar Propriedades Agricolas S.A. to shareholders of Cosan.
