Cohen & Steers Infrastructure Fund Announces Completion of Merger

NEW YORK, March 15 /PRNewswire/ -- After the close of business on Friday, March 12, 2010, Cohen & Steers REIT and Utility Income Fund, Inc. (NYSE: RTU) merged with and into Cohen & Steers Infrastructure Fund, Inc. (NYSE: UTF).

In the merger, UTF acquired substantially all of the assets and liabilities of RTU in a tax-free transaction in exchange for an equal aggregate value of newly issued common shares of UTF.  RTU distributed the common shares of UTF (and fractional shares where applicable) to its common shareholders in an amount equal to the aggregate net asset value of RTU common shares as determined at the close of business on March 12, 2010. The net asset value per share of each fund as of March 12, 2010 and the exchange ratios at which common shares of RTU were exchanged for common shares of UTF are set forth below.

Common shareholders of RTU will receive a statement showing the number of UTF shares that they own as a result of the merger.
