CNG Holdings, Inc. Commences Consent Solicitation Relating to Its Outstanding 9.375% Senior Secured Notes due 2020

CINCINNATI, July 31, 2013 /PRNewswire/ -- CNG Holdings, Inc. (the "Company") announced today that it has commenced a consent solicitation relating to its outstanding 9.375% Senior Secured Notes due 2020 (CUSIP Nos. 12612DAG1 and U17432AC6).  The consent solicitation is being made to all persons in whose name a Senior Secured Note was registered at 5:00 p.m. (New York City time) on July 30, 2013 and their duly designated proxies.  The Company is seeking consents to proposed amendments to the indenture pursuant to which the notes were issued (the "Proposed Amendments") in order to permit the Company and its subsidiaries, WhyNot Leasing, LLC and WhyNot Lease SPV LLC (the "WNLI Subsidiaries"), to enter into, deliver and perform their respective obligations under certain financing transactions which will provide the WNLI Subsidiaries with additional operating funds.  The consent solicitation will expire at 5:00 p.m. (New York City time) on August 7, 2013 unless extended (the "Consent Deadline").  Beneficial holders who return their consent to the Proposed Amendments prior to the Consent Deadline will receive a consent fee of $2.50 for each $1,000 in principal amount of Senior Secured Notes for which consent has been delivered, upon the effectiveness of the Proposed Amendments and the consummation of the contemplated financing transactions, if the requisite consents are received.
