China Yida Reports Outcome of Annual Meeting of Stockholders
FUZHOU, China, June 30, 2011 /PRNewswire-Asia-FirstCall/ -- China Yida Holding Company (Nasdaq: CNYD) ("China Yida" or the "Company"), a leading tourism and media enterprise in China, today announced that it held its 2011 Annual Meeting of Stockholders (the ''Annual Meeting'') on June 26, 2011 in Fuzhou, China.
At the Annual Meeting, the Company's stockholders were asked to vote on a proposal to elect five directors to serve for the next year until the Company's 2012 Annual Meeting of Stockholders. The stockholders re-elected Mr. Minhua Chen, Ms. Yanling Fan, Mr. Michael Marks, Ms. Chunyu Yin and Mr. Fucai Huang as members of the Board of Directors of the Company by a plurality of the votes cast.
The stockholders also ratified the appointment of Friedman LLP as the Company's independent registered public accountants for fiscal year ending December 31, 2011 by a plurality of the votes cast.
The Company's stockholders also provided advisory votes regarding the Company's overall pay-for-performance executive compensation program and the frequency of say-on-pay votes. As such, the stockholders endorsed the Company's overall pay-for-performance compensation program as described in the proxy materials. In addition, the stockholders voted in favor of a triennial vote on the Company's executive compensation program, as recommended by the Board of Directors.
