China Nepstar Chain Drugstore Ltd. Announces Formation of Special Committee to Consider "Going Private" Proposal
SHENZHEN, China, July 17, 2015 /PRNewswire/ -- China Nepstar Chain Drugstore Ltd. (NYSE: NPD) ("Nepstar" or the "Company"), a leading retail drugstore chain in China based on the number of directly operated stores, today announced that its board of directors (the "Board") has formed a special committee consisting of three independent directors (the "Special Committee"), Mr. Barry J. Buttifant, Mr. Alistair Eric MacCallum Laband and Mr. Alan Au, to consider the previously announced preliminary non-binding "going private" proposal letter that the Board received on July 6, 2015. Mr. Barry J. Buttifant will chair the Special Committee. The Special Committee intends to retain independent legal and financial advisors to assist it in this process.
The Board cautions the Company's shareholders and others considering trading the Company's securities that the Board has recently received the proposal letter and has not had an opportunity to carefully review and evaluate the proposal or make any decision with respect to the Company's response to the proposal.
