(NYSE: CHS) (the "Company" or "Chico's FAS") today announced that its Board of Directors (the "Board"), has appointed Kevin Mansell as the next Chair of the Board, effective immediately following the Company's 2022 Annual Meeting of Shareholders. With Mr. Mansell's appointment, the Chair of the Board will again be an independent Director. Mr. Mansell succeeds Bonnie Brooks, who has served as Executive Chair of the Board since 2020 and will continue to serve as a Director and a member of the Merchant Committee and Executive Committee.

Ms. Brooks has been a Director on the Board since 2016 and served as CEO and President of the Company from 2019 to 2020, after serving as Interim CEO and President since April 24, 2019. As Executive Chair of Chico's FAS, Ms. Brooks led the Board in taking important actions to ensure the Company was well positioned to navigate a competitive retail environment and the challenges associated with COVID-19. Throughout the pandemic, together with the Board and management team, Ms. Brooks helped oversee the Company's protective measures to support associates, customers and communities in addition to its ongoing strategic investments in product, marketing and digital initiatives.
Mr. Mansell joined the Board in April 2021 and has served as Lead Independent Director since the Company's 2021 Annual Meeting of Shareholders. Mr. Mansell has more than 40 years of experience in the retail industry, including experience leading a publicly traded retail Fortune 500 company with a significant omnichannel presence, and strategic, merchandising and financial expertise. Prior to joining the Chico's FAS Board, he spent over 35 years at Kohl's Corporation, most recently serving as its Chairman, Chief Executive Officer and President before retiring in May 2018.
