CBS Corporation Announces Proposed Senior Notes Offering
NEW YORK, Nov. 13, 2017 /PRNewswire/ -- CBS Corporation (NYSE: CBS.A and CBS) today announced plans to offer, subject to market and other conditions, senior notes in a private debt offering.
After deducting fees and expenses related to this offering, CBS intends to use the net proceeds for general corporate purposes, which may include, among other purposes, redemption of long-term indebtedness, discretionary contributions to CBS qualified pension plans, or the repayment of short-term borrowings, including commercial paper.
The notes will be offered and sold in a private placement to qualified institutional buyers in the United States pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and to non-U.S. persons in transactions outside the United States pursuant to Regulation S under the Securities Act. The notes to be offered have not been registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act.
