Boyne Resorts Prices Private Offering of $60 Million of Additional 7.250% Senior Secured Second Lien Notes
BOYNE FALLS, Mich., June 24, 2019 /PRNewswire/ -- Boyne USA, Inc. (the "Company") today announced the pricing of a previously announced private offering of $60 million aggregate principal amount of its 7.250% Senior Secured Second Lien Notes due 2025 (the "New Notes"). The New Notes will be issued to the public at an offering price of 108.250% of the principal amount thereof, plus accrued interest from May 1, 2019. The New Notes will be issued under the indenture governing the Company's $400 million aggregate principal amount of 7.250% Senior Secured Second Lien Notes due 2025 issued on April 11, 2018 (the "Existing Notes"). The New Notes, if issued, will be treated as a single series with the Existing Notes and will have the same terms as the Existing Notes, other than with respect to the date of issuance and issue price. The offering of New Notes is expected to close on or about July 3, 2019, subject to customary closing conditions.
The Company estimates that the net proceeds from the offering, after deducting the initial purchaser's discounts and estimated expenses, will be approximately $63.0 million (excluding the accrued interest on the New Notes from May 1, 2019). The Company intends to use the net proceeds from the offering to refinance up to $20 million of existing indebtedness and the remainder for general corporate purposes (including capital expenditures).
The New Notes were offered only to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and to persons outside the United States in accordance with Regulation S under the Securities Act. The New Notes and the related guarantees have not been and will not be registered under the Securities Act or the securities laws of any state or other jurisdiction and, unless so registered, may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
