BBVA Compass Bancshares, Inc. Closes $700 Million Subordinated Notes Offering
Bank issues 10-year unsecured subordinated debt
HOUSTON, April 10, 2015 /PRNewswire/ -- BBVA Compass Bancshares, Inc., a Sunbelt-based bank holding company ("BBVA Compass"), announced today that its wholly-owned subsidiary Compass Bank has closed the sale of $700 million in aggregate principal amount of its 3.875% unsecured subordinated notes ("Subordinated Notes"). The Subordinated Notes were sold at a price of 99.019% of par.
The Subordinated Notes will mature on April 10, 2025 and will bear interest at a rate of 3.875% per annum, payable semi-annually in arrears on April 10 and October 10 of each year, beginning on October 10, 2015. The Company intends to use the proceeds of the offering for general corporate purposes and as a source of diversification of its funding base.
Citigroup Global Markets Inc., BBVA Securities Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated and Wells Fargo Securities, LLC acted as joint book-running managers for the offering of the Subordinated Notes.
